NOYSC Constitution 1:01 Name 1:01:01 This Club shall be known as the Northwest Oaks Youth Soccer Club, also referred to as "NOYSC". This Club shall be incorporated as a member of the Santa Rosa Youth Soccer League, an educational and non-profit organization.
1:02 Boundaries and Territories
1:02:01 The territory shall be that area of the Piner-Olivet and Mark West School districts and other areas as defined by SRYSL.
1:02:02 The club boundaries shall be fixed and/or modified by the governing authority of this league before, but not later than, the first of April of the preceeding calendar year. 1:03 Purpose 1:03:01 The purpose of the Club shall be to develop, promote, and administer the game of soccer among youth (under 19 years of age), within the Club territory. 1:04 Colors 1:04:01 The representative color of this Club shall be Teal, Purple, Black and White. Any combination may also be used as "trim" colors on member team uniforms. 1:05 Affiliation 1:05:01 This Club shall be an affiliated Club of and shall comply with the authority of the Santa Rosa Youth Soccer League (SRYSL), the California Youth Soccer Association (CYSA) and the United States Youth Soccer Association (USYSA). 1:06 Authorities 1:06:01 This Club shall be governed by its Constitution, By-Laws and General Procedures except when these are superseded by SRYSL, CYSA, or USYSA. 1:06:02 The governing authority of this Club, whose powers shall be designated in the By-Laws, shall be vested with the Board of Directors of this Club. 1:06:03 The governing board, henceforth known as the Board of Directors (or Board), shall be comprised of a President, Vice President, Secretary, Treasurer and other members of the Board, but in no case will the Board of Directors be less than 12 or exceed 18 elected members. 1:07 Membership 1:07:01 Membership within this Club shall be by affiliation with this Club. All players registered in the current season with this Club, their parents, guardians, coaches, referees and officials of the Club, shall be members. 1:07:02 All members shall abide by the Constitution, By-Laws, and general Procedures of this Club, and all applicable rules and regulations of the League and Association with which the club is affiliated. 1:08 Annual General Meeting 1:08:01 The Annual General Meeting (AGM) shall be called for by the President of the Club, with the concurrence of the Board, to be held no later than December 15th of the seasonal year. Written notification to all affiliated members shall be made at least 30 days prior to said AGM 1:08:02 The order of business at the AGM shall be as follows:
D. Introduction of Guests
1:08:03 The Board will annually recommend to the membership any changes in the Constitution and/or By-Laws for ratification at the AGM. Any changes to the Constitution and/or By-Laws recommended by the Board shall be forwarded in writing to all members no later than November 1st of each year. 1:08:04 Each adult Club member in attendance shall be entitled to one vote. Voting by proxy shall not be allowed, and only those members of record in good standing shall be entitled to voting privileges. The President shall cast a vote only in the case of a tie. 1:08:05 Only those Club members reaching their eighteenth birthday by December 31st of the seasonal year shall be eligible to vote or be elected to the Board. 1:09 Changes 1:09:01 Each affiliated member shall submit proposed changes to the existing Constitution and By-Laws of the Club to the Club Secretary. These proposed changes shall be submitted by October 1st preceding the AGM 1:09:02 Amendments to the Constitution and By-Laws of this Club shall be made at the AGM, except in such cases as specified in the By-Laws of this Club. 1:09:03 An amendment shall be deemed adopted by an affirmative vote of two-thirds (2/3) of the members present and voting at the Annual General Meeting. 1:09:04 Any and all amendments to the Constitution and By-Laws adopted at the AGM shall become effective at the beginning of the seasonal year immediately following the AGM. 1:09:05 If any changes to the existing Constitution or By-Laws of the Club are approved at the AGM, those changes must be shown in a revised edition of the affected document. The revised document, clearly marked with the date of revision, must be presented to the Board of Directors within 60 days of the AGM. 1:09:06 Any changes in the existing General Procedures, rules and/or fees being recommended to the Board of Directors at the Annual General Meeting shall be presented in writing to the Board no later than 30 days prior to the AGM. 1:09:07 General Procedures, rules and/or fees of the Club will be modified as deemed appropriate by the Board during the course of the year by a majority vote of the Board, except those changes mandated by SRYSL or CYSA, which shall be adopted without vote.
